VBPC Constitution

Constitution of The Virginia Beach Photography Club

ARTICLE I - NAME

The name of this organization shall be VIRGINIA BEACH PHOTOGRAPHY CLUB.

ARTICLE II - PURPOSE

The aim of this non-profit organization shall be an environment in which a member can learn, improve photographic skills and enjoy photography.

ARTICLE III - MEMBERSHIP

Any person interested in photography may be come a member of this club, as provided for in the Bylaws.

ARTICLE IV - OFFICERS

The officers of this club shall be President, Vice-President, Secretary/vice-Treasurer, and Treasurer/Vice-Secretary. Their duties shall be those usually pertaining to these offices.

ARTICLE V - VACANCIES

Section 1

If the office of President becomes vacant for any reason, the Vice-President shall take over for the remainder of the term.

Section 2

If any office other than that of President becomes vacant, it shall be filled by appointment by the President for the remainder of the year.

ARTICLE VI - MEETINGS

Regular club meetings shall be held on the first Tuesday of each month. An Annual Business Meeting shall be conducted during the regular club meeting in November.

ARTICLE VII - AMENDMENTS

Amendments to this Constitution many be made any time by a two-thirds affirmative vote of the member.

ARTICLE VIII - BYLAWS

Bylaws for the transaction of the club business may be adopted, revoked, or amended at any time by a majority affirmative vote of the members.

ARTICLE IX - DISSOLUTIONMENT

In the event of disillusionment of the Virginia Beach Photography Club, all VBPC property shall be disposed of in a manner determined by a majority vote of the current membership. The proceeds shall be deposited in the VBPC bank account. After all financial obligations are satisfied, the balance in the bank account shall be donated to a local charity selected by a simple majority vote of current membership.
