Virginia Beach Photography Club Bylaws
Article I - Name
The name of this organization shall be "Virginia Beach Photography Club" and is hereinafter referred to as "the club."
Article II - Purpose
The purpose of this non-profit organization is to provide an environment in which members can learn how to improve photographic skills and enjoy photography.
Article III - Membership
Any person interested in photography may become a member of the club upon completing an application and paying membership dues.
A. Regular members shall be entitled to participate in all activities of the club including voting and holding office. Any member three months in arrears will be removed from the membership roster and will not be allowed to participate in any club activities.
B. Honorary membership may be conferred upon any person who has been elected to this class of membership by a majority vote of the Membership. Honorary members shall be allowed to participate in all club activities except voting and holding office.
C. The annual dues will be set by a General Membership vote at the November meeting. Annual dues are due in January. Dues will be prorated for people joining after January.
Article IV - Officers
The officers of this club shall be President, Vice President, Secretary and Treasurer. Officers shall be elected annually by the Membership. Officers shall not be limited in the number of terms they may serve in the same office. Officers are elected at the November meeting and assume office in January.
A. Officers' Duties
1. President -
- Presides at all Board meetings
- Acts as club spokesperson
- Recommends creation of Committees as necessary to ensure efficient club operations.
- Committees require Board approval for creation.
- Solicits member participation in all club activities
- Is informed and versed in all issues pertaining to the Club
2. Vice President -
- Participates in and attends all Board meetings
- Assists the President in all matters and acts on behalf of the President in his/her absence
- Monitors standing committees
- Solicits member participation in all club activities
- Maintains and oversees Club-owned equipment and other property
3. Treasurer -
- Participates in and attends all Board meetings
- Collects, manages and maintains all Club funds according to the Club budget
- Maintains and has custody of all Club financial records including but not limited to bank accounts, revenues and expenses as well as financial reports.
- Provide monthly financial status updates
- Solicits member input on Club financial matters
4. Secretary -
- Participates in and attends all Board meetings as well as takes minutes
- Minutes are to be read at the general membership meeting
- Prepares and distributes all Board meeting information packets
- Provides Board meeting information packets one week prior to the Board meeting
- Solicits member participation in all club activities
- Maintains a record of all Club activities including Focus Group meeting attendance
- Assists in the preparation of a Club calendar
5. Members at-large -
- Attend and participate in Board meetings
- Participate in Board votes
B. Resignation in absentia
Any appointed or elected officer of the club who has missed three consecutive regularly scheduled Board meetings may be deemed to have resigned in absentia by the
Membership. An affected Officer may not vote on the resignation. The Board will formally notify the affected Officer. The notification may be electronic or via regular postal mail. The affected officer has the obligation to return all Club properties (real, personal, or intellectual) to an Officer in good standing at the time of resignation and to fulfill all outstanding financial obligations.
C. Vacancies
1. If the office of President becomes vacant for any reason, the Vice President shall take over for the remainder of the term
2. If any office other than that of President becomes vacant, it shall be filled by appointment by the President for the remainder of the term
Article V - The Board
A. Officers are voting members of the Board
B. Committee Chairpersons are voting members of the Board
a. Committee Chairpersons are to be voted in at the annual elections
b. Committee Chairpersons are to include but are not limited to
Membership, Competition, and Events Coordinator
C. Members at-large are voting members of the Board
a. Members at-large shall be voted in at the annual elections in November
b. There shall be two Members at-large elected
D. A quorum shall be 5 Board members
The Board and Club business shall operate in accordance with Robert's Rules of Order
Article VI - Expenditures
A. All expenditures shall be limited to $200 unless approved by a majority vote in the affirmative of the General Membership
B. The Annual Banquet and Annual Awards budgets must both be approved by a majority vote in the affirmative of the General Membership present at a General Membership meeting
Article VII -
Meetings
Regular Club meetings shall be held on the first Tuesday of each month unless it is necessary to change it. It is open to anyone including non-members. An annual Business Meeting shall be conducted during the regular club meeting in November. Board meetings shall be held on the fourth Tuesday of each month and are open to the general Membership.
Article VIII - Amendments
Amendments to these bylaws may be made at any time by a two-thirds vote in the affirmative of the members present at a regularly scheduled membership meeting.
Article IX - Dissolution
In the event of dissolution of the Club, all Club property shall be disposed of in a manner determined by a majority vote of the current membership. Any proceeds shall be deposited in the Club's bank account. After all financial obligations are satisfied, the balance of the bank account shall be donated to a local charity or non-profit organization selected by a majority vote of the current membership.
